Terms and Conditions
Welcome to Oceanvia (“Oceanvia”, “we”, “our”, or “us”). These Terms & Conditions govern your access to and use of https://oceanviasl.com (the “Website”), including any pages, forms, catalogs, and the shopping bag/cart functionality.
1) Who We Are (Oceanvia Group / Branches)
Oceanvia operates through the following entities (together, the “Oceanvia Group”):
• Oceanvia SL (Spain) – Calle Mar de Castilla 25, 45646 San Román de los Montes, Toledo, Spain
• Oceanvia LLC (United States – Florida) – 6823 SW 25th St, Miami, FL 33155, USA
Important: The Website presents Oceanvia Group information and may reference products and services offered by either entity. The specific contracting entity (Oceanvia SL or Oceanvia LLC) will be identified in your quotation, proforma, purchase order, invoice, or commercial agreement.
2) Website Purpose (B2B Wholesale + Order Requests)
Oceanvia is primarily a B2B wholesale trading and distribution business. The Website is intended to:
• Present our catalog and sourcing capabilities;
• Allow users to request quotations (RFQ) and submit wholesale order requests; and
• Facilitate commercial communication (inquiries, specifications, logistics requirements).
3) No Online Checkout Payments
Unless explicitly stated otherwise, no online payments are processed directly at checkout on this Website.
The shopping bag/cart is used for order requests and quotation purposes only. Submitting an order request does not create a binding contract, does not guarantee availability, and does not confirm pricing.
A sale becomes binding only after Oceanvia issues and both parties accept applicable commercial documents, which may include a quotation, purchase order acceptance, proforma invoice, invoice, and/or a signed commercial agreement.
4) Pricing, Product Information & Availability
• Product descriptions, images, packaging, weights, palletization, and pricing shown on the Website may be indicative and may change based on: origin, availability, shipping terms (Incoterms), destination, volume, and market conditions.
• Final pricing and specifications will be confirmed in a quote / proforma / invoice.
• Oceanvia may correct errors (including pricing or product information) at any time.
5) Wholesale Orders, Minimums & Custom Quotes
Many products are offered under wholesale conditions that may include:
• Minimum order quantities (MOQ);
• Pallet/container requirements;
• Lead times and production schedules;
• Export/import documentation requirements; and
• Destination restrictions.
Oceanvia may request additional information to prepare a quote (company details, shipping destination, requested quantities, and documentation needs).
6) Payments & Payment Methods
Payment terms are established in the quote, invoice, or commercial agreement. Depending on the transaction and customer approval, Oceanvia may accept, among other methods:
• Wire transfer
• ACH transfer (USA)
• SEPA/Bank transfer (EU)
• Authorized payment links or card payments (where available and approved)
Availability of payment methods may vary depending on the contracting entity, customer verification, and transaction risk controls.
7) Shipping, Delivery & Risk
Shipping terms, delivery timelines, risk transfer, and responsibilities are defined in the quote/invoice and may reference Incoterms (e.g., EXW, FOB, CIF, DDP). Oceanvia is not responsible for delays caused by carriers, ports, customs authorities, force majeure events, or other circumstances beyond our control.
8) Returns, Refunds & Cancellations
Because Oceanvia primarily operates wholesale and international trade, returns/refunds are typically handled according to the commercial documents of each transaction and the nature of the goods.
Please refer to our Refund / Returns Policy (if published) and/or the terms on your invoice or agreement. Where no separate policy applies, any return/refund request must be submitted in writing and is subject to Oceanvia’s review and applicable law.
9) User Responsibilities & Acceptable Use
You agree not to:
• Use the Website for unlawful purposes;
• Misrepresent your identity or business intent;
• Attempt to gain unauthorized access to systems or data;
• Upload malicious code, spam, or abusive content; or
• Infringe intellectual property rights.
We may restrict or block access to the Website if we detect misuse, fraud indicators, or suspicious activity.
10) Intellectual Property
All content on the Website (text, layout, logos, images, product presentations, and materials) is owned by Oceanvia or licensed to us and is protected by applicable intellectual property laws. You may not copy, reproduce, republish, or distribute Website content without prior written permission, except for normal viewing and internal business evaluation.
11) Third-Party Links & Tools
The Website may contain links to third-party websites or services. Oceanvia does not control and is not responsible for third-party content, policies, or practices. Use of third-party sites is at your own risk.
12) Disclaimers
The Website and its content are provided on an “as is” and “as available” basis. Oceanvia makes no warranties that the Website will be uninterrupted or error-free, or that product information will always be complete, current, or suitable for a specific purpose.
13) Limitation of Liability
To the maximum extent permitted by law, Oceanvia will not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Website. Oceanvia’s total liability for any claim related to the Website will be limited to the amount (if any) you paid directly to Oceanvia for the specific transaction giving rise to the claim.
14) Compliance & Transaction Screening
Oceanvia may conduct reasonable compliance checks for business verification and transaction integrity (including KYC/AML-related controls) and may refuse or cancel engagement where required by law or where risk controls indicate.
15) Changes to These Terms
We may update these Terms from time to time. Continued use of the Website after changes are published constitutes acceptance of the updated Terms.
